If you want to be really nit-picky, if you're sending an LD player's signal to a digital comb filter (which you need to get a half-way decent picture) you're digitizing the picture.
To answer the original question, it really depends on what you're looking for. The LD-S2 has a noticeably softer picture than later models IMO, but has lower video noise. Its weight is a big deal if you plan on moving it or getting it shipped. If false outlines bug you, it still has them, but it has virtually unnoticeable CLV smear which is a big plus.
Depending on how picky you are, I could go into detail about the pros and cons of the unit (mostly from a video quality standpoint. I won't claim to tell you I can hear the difference between DVD's DD and LD's LPCM).
